STANDARD TERMS & CONDITIONS OF SALE

1. Scope
 These Terms & Conditions (“Terms”) apply to all sales of goods and services (“Goods”) by Krona Subsea Ltd (“Krona”). They override any terms issued by the purchaser (“Customer”) unless agreed in writing by Krona.
 2. Quotations & Orders
 2.1 Quotations are invitations to treat, not binding offers.
2.2 Orders are accepted only when confirmed in writing by Krona.
2.3 Customer is responsible for the accuracy of all order information, specifications, and delivery details.
 3. Pricing
 3.1 Prices are valid for 30 days unless stated otherwise.
3.2 Prices are Ex-Works (Incoterms 2020) Krona’s facility unless agreed in writing.
3.3 Krona may adjust prices before delivery if costs materially change due to factors outside Krona’s control (e.g., component costs, exchange rate movements, supply chain increases).
3.4 VAT and other applicable taxes are charged in addition.
 4. Delivery
 4.1 Delivery dates are estimates only and not of the essence.
4.2 Krona is not liable for delays caused by events beyond its reasonable control.
4.3 If Customer fails to take delivery, Krona may:
 store the Goods and charge storage costs; or
 resell the Goods and recover any shortfall.
 Risk transfers on collection or dispatch. Title transfers on full payment.
 5. Loss or Damage in Transit
 Claims for transit damage or shortages must be notified to Krona in writing within 3 days of receipt. Claims for non-delivery must be made within 14 days of dispatch notification.
 6. Payment
 6.1 Payment terms are 30 days from invoice date, unless otherwise agreed.
6.2 Krona may suspend deliveries or cancel orders if payment is overdue.
6.3 Late payment interest may be charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
 7. Warranty
 7.1 Krona warrants that Goods are free from defects in materials and workmanship for 12 months from invoice date, unless stated otherwise.
7.2 Warranty covers repair or replacement at Krona’s discretion.
7.3 Warranty does not apply to:
 misuse or improper installation
 unauthorised modifications
 normal wear and tear
 consumables, unless explicitly stated
7.4 Goods returned for warranty review must be accompanied by the original certification and returned carriage-paid.
 8. Repairs & Returns
 Goods returned for inspection or repair must be clearly labelled and sent carriage-paid. If no fault is found, Krona may apply an inspection charge.
 9. Liability
 9.1 Krona’s total liability arising from the sale of Goods is limited to the price paid for the specific Goods giving rise to the claim.
9.2 Krona is not liable for:
 consequential, indirect, or special losses
 loss of profit, production, contracts, or data
 delays or failures caused by events outside Krona’s reasonable control
9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
 10. Intellectual Property
 Where Goods are manufactured to Customer specifications, Customer indemnifies Krona against claims arising from infringement of third-party intellectual property rights.
 11. Cancellation
 Orders may not be cancelled without Krona’s written consent. Cancellation may incur charges for work already performed, materials purchased, and loss of profit.
 12. Insolvency
 Krona may cancel orders or suspend deliveries if the Customer becomes insolvent, enters administration or liquidation, or is otherwise unable to meet its obligations.
 13. Notices
 All notices must be in writing and delivered to the registered address of the relevant party or as otherwise notified.
 14. Governing Law & Jurisdiction
 These Terms are governed by the laws of Scotland.
Any dispute shall be subject exclusively to the jurisdiction of the Scottish courts.
 15. Entire Agreement
 These Terms form the entire agreement between Krona and the Customer. No verbal assurances or external terms apply unless confirmed in writing by Krona.
